Acceptance of Terms
By engaging Shopify Pro Services โ whether through submitting an enquiry form, signing a project proposal, making a payment, or otherwise commencing a working relationship โ you ("the Client") agree to be bound by these Terms and Conditions in full.
These terms form a legally binding agreement between you and Shopify Pro Services ("the Company", "we", "us"). If you do not agree to any part of these terms, please do not proceed with using our services.
These Terms and Conditions apply to all services provided by Shopify Pro Services, including but not limited to: store builds, SEO, paid advertising management, conversion rate optimisation, email marketing, and monthly retainer plans.
Services Provided
Shopify Pro Services provides digital services to Shopify merchants and ecommerce businesses. Our core services include:
- Shopify store builds, setup, and launch
- Theme customisation and design
- Speed and performance optimisation
- Search engine optimisation (SEO)
- Google Ads and Meta Ads management
- Email marketing setup and management (Klaviyo)
- Conversion rate optimisation (CRO)
- Custom Shopify app development
- Monthly growth retainer packages
The specific scope of work for each engagement will be outlined in a project proposal or service agreement provided before work begins. Only the services listed in that agreement are included. Additional work requested outside the original scope will be quoted separately.
We reserve the right to decline any project at our discretion prior to project commencement.
Payment Terms
Deposit & Payment Schedule
- A 50% non-refundable deposit is required before any project work begins
- The remaining 50% is due upon project completion, before final deliverables are handed over
- For monthly retainer services, the full monthly fee is payable in advance on the 1st of each month
- Paid advertising management fees are due at the start of each billing period, separate from any ad spend budget
Accepted Payment Methods
- Bank transfer (BACS)
- Stripe (debit/credit card)
- PayPal (by prior arrangement)
Late Payments
- Invoices are due within 7 days of issue unless otherwise agreed in writing
- Late payments beyond 14 days may result in work being paused until payment is received
- We reserve the right to charge a late payment fee of ยฃ50 per week on overdue balances exceeding 14 days
- We reserve the right to pursue outstanding invoices through appropriate legal channels if necessary
Project Process & Timelines
All project timelines are provided as estimates and are based on receiving timely feedback, content, and approvals from the Client.
Typical Project Timelines
- Starter Store Build: 1โ2 weeks from project kick-off
- Growth Store Build: 3โ4 weeks from project kick-off
- Scale Store (custom development): 5โ8 weeks from project kick-off
- SEO campaigns: Ongoing monthly; initial setup within 2 weeks
- Paid ads campaigns: Live within 5โ7 business days of receiving assets
Delays
Shopify Pro Services is not responsible for delays caused by:
- Late delivery of content, images, copy, or approvals by the Client
- Changes in project scope or direction requested mid-project
- Third-party platform downtime (e.g. Shopify, Google, Meta)
- Delays in payment that cause work to be paused
If we anticipate a delay on our side, we will notify you promptly and provide a revised timeline.
Revisions & Scope of Work
Each service package includes a defined number of revision rounds. The following table outlines the revision allowances per package tier:

What Constitutes a Revision
A revision round is defined as a consolidated list of feedback submitted in one go. Feedback provided in multiple separate rounds, or requests that substantially change the original brief, will be treated as additional revision rounds or new scope.
Scope Changes
Any changes to the original project brief โ including new features, additional pages, or significant design direction changes โ will be quoted separately and require written approval before work proceeds. Scope changes may also affect the project timeline.
Intellectual Property
What You Own
Upon receipt of full payment, the Client takes ownership of all final deliverables produced specifically for their project, including:
- The Shopify store and all associated code customisations
- Custom graphics, banners, and design assets created for the project
- Written copy and content produced as part of the engagement
- SEO content, blog posts, and meta data
What We Retain
- The right to display completed work in our portfolio and case studies (unless you request otherwise in writing)
- Ownership of any proprietary methodologies, processes, frameworks, or tools we use to deliver the work
- Third-party assets, fonts, stock images, or licensed plugins โ these remain subject to their own licensing terms
Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of the project. This includes, but is not limited to:
- Business strategies, revenue figures, and financial information
- Customer data and mailing lists
- Unreleased product information or brand plans
- Access credentials, API keys, and third-party account details
Shopify Pro Services will never share, sell, or disclose your confidential business information to any third party, except where required by law.
This confidentiality obligation survives the termination of the working relationship and remains in force indefinitely.
If a formal Non-Disclosure Agreement (NDA) is required, we are happy to sign one. Please request this before project commencement.
Client Responsibilities
To enable us to deliver your project on time and to the highest standard, the Client agrees to:
- Provide content on time โ including product images, copy, logos, brand guidelines, and any other required assets within the agreed timeframe
- Respond promptly to feedback requests โ we request feedback within 3 business days of delivering each stage for review
- Provide accurate information โ ensure all business information, credentials, and requirements shared with us are accurate and up to date
- Grant necessary access provide Shopify staff access, Google Analytics access, and any other platform access required to carry out the work
- Obtain necessary permissions โ ensure you have the legal right to use all content, images, and materials supplied to us
- Designate a point of contact โ provide one primary contact person for approvals to avoid conflicting instructions
Failure to fulfil these responsibilities may result in project delays and additional costs, for which Shopify Pro Services cannot be held responsible.
Limitation of Liability
Shopify Pro Services will always strive to deliver the highest quality of work. However, the following limitations apply:
- We cannot guarantee specific revenue outcomes, conversion rates, search rankings, or ROAS figures, as these depend on many external factors beyond our control
- We are not liable for any loss of data, loss of revenue, or business disruption caused by third-party platforms (e.g. Shopify, Google, Meta, Stripe)
- Our total liability to you in connection with any project shall not exceed the total fees paid by you for that specific project
- We are not responsible for the performance of any third-party apps, plugins, or tools installed at the Client's request
- We are not liable for issues arising from changes the Client makes to the store after project handover without our involvement
Termination Policy
Termination by the Client
- The Client may terminate the project at any time by providing written notice via email
- The initial 50% deposit is non-refundable under all circumstances
- If termination occurs after substantial work has been completed beyond the deposit stage, the Client agrees to pay for all work completed to date, calculated at our standard hourly rate of ยฃ75/hour
- For monthly retainer services, 30 days' written notice is required to cancel. The final month's fee is not refundable
Termination by Shopify Pro Services
We reserve the right to terminate an engagement if:
- Payment is not received within 14 days of an invoice due date
- The Client acts in a threatening, abusive, or unreasonable manner toward our team
- The Client requests work that is illegal, unethical, or violates third-party platform terms
In the event of termination by us for any of the above reasons, any payments made up to that point are non-refundable.
Dispute Resolution
In the unlikely event of a dispute, both parties agree to the following process:
- Step 1 โ Direct Communication: Both parties will attempt to resolve the issue through direct, good-faith communication within 14 days of the dispute being raised
- Step 2 โ Mediation: If direct communication fails, both parties agree to attempt resolution through a mutually agreed mediator before pursuing legal action
- Step 3 โ Legal Action: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales
These Terms and Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.
Changes to These Terms
We reserve the right to update or modify these Terms and Conditions at any time. When we do, we will revise the "Last Updated" date at the top of this page.
For existing clients currently engaged in an active project or retainer, the terms in place at the time of the original agreement will remain valid for the duration of that engagement.
For new enquiries or new project engagements, the most current version of these terms will always apply. We encourage you to review this page periodically.
